1. Introduction

3. Service Engagement

Services will commence only after written approval of proposal/quotation and receipt of required advance payment (if applicable).

Any modification in scope requires written approval and may result in revised pricing and timelines.

4. Fees & Payment Terms

• Fees shall be as per approved quotation or agreement.
• Payments must be made within the agreed credit period.
• Late payments may attract interest as per applicable law.
• All applicable taxes (including GST) shall be borne by the Client.
• No refunds shall be issued for completed milestones unless agreed in writing.

5. Client Responsibilities

The Company shall not be responsible for delays caused due to Client inaction.

6. Data Management & Confidentiality

The Company shall maintain confidentiality of Client data and shall not disclose it to third parties without written consent, except as required by law.

While reasonable security measures are implemented, no system is completely secure.

7. Digital Marketing & Business Development Disclaimer

Marketing results depend on external factors such as market conditions and platform algorithms. The Company does not guarantee specific revenue, sales, or rankings unless explicitly agreed in writing.

Advertising budgets are separate from service fees unless stated otherwise.

8. Survey & Review Management

We facilitate survey execution and review monitoring but do not generate fake reviews or engage in unethical practices.

The Company is not responsible for third-party platform policy changes or account suspensions beyond our control.

9. IT Consulting & Digital Transformation

Recommendations are based on best practices. Final implementation decisions remain the Client’s responsibility.

The Company is not liable for third-party software limitations, vendor failures, or infrastructure downtime.

10. Intellectual Property

All deliverables become Client property upon full payment. The Company retains ownership of its proprietary tools, templates, and methodologies.

11. Limitation of Liability

The Company’s total liability shall not exceed the fees paid for the specific service. The Company shall not be liable for indirect or consequential damages including loss of profits or business opportunities.

12. Termination

Either party may terminate the agreement with written notice. Upon termination, outstanding dues must be cleared immediately.

13. Force Majeure

The Company shall not be liable for delays caused by events beyond reasonable control including natural disasters, government actions, cyber-attacks, or internet outages.

14. Governing Law

This Agreement shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts located in [Insert City].
